Terms of use

Draft pending legal review. These terms describe the arrangement as intended, but they define commercial and liability positions and must be reviewed by a lawyer before sign-up opens. Where these terms and the licence file shipped with the software disagree, the licence file governs.
The short version
noirdeck is free to use, including for your company's work. You may not redistribute it. It runs on your machine, so what it does there is your responsibility. We provide it as is.
Your licence
noirdeck is source-available, not open source. It is licensed under the
PolyForm Internal Use License 1.0.0, together with a supplemental grant covering personal,
non-commercial use. The full text ships with the software in its LICENSE file
and is the authoritative statement of what you may do.
In plain terms, you may:
- install and run it, for yourself and for your company's own work;
- modify it for that use.
You may not:
- distribute it, republish it, or make copies available to anyone else;
- sell it, sublicense it, or offer it as a service to third parties;
- remove or obscure licence and ownership notices.
Your licence key
A key is issued to you and identifies you. Do not share it. Keys are verified on your own machine and are not a promise of continued service: we may decline to issue or renew a key, and a key that is being misused may not be renewed.
What noirdeck does on your machine
noirdeck runs locally and acts under your direction. It can run other programs and AI assistants you have configured, and it can propose changes to your files, which take effect only when you approve them. You remain responsible for what runs on your machine and for the work it produces, including reviewing changes before you accept them and keeping your own backups.
If you point noirdeck at a hosted AI provider, your content goes to that provider under their terms, not ours.
No warranty
noirdeck is provided as is, without warranty of any kind, express or implied. We do not warrant that it will be uninterrupted, error free, or fit for a particular purpose.
If you are a consumer in New Zealand, nothing in these terms limits rights you have under the Consumer Guarantees Act 1993 that cannot lawfully be excluded. Because noirdeck is supplied for business use, the parties agree that Act does not apply where the software is acquired for the purposes of a business.
Liability
To the fullest extent the law allows, we are not liable for any indirect or consequential loss, loss of profit, loss of data, or business interruption arising from your use of noirdeck. Because it is provided free of charge, our total liability to you is limited to NZ$100.
Changes and ending
We may change these terms; the date at the top will change with them, and continued use after that is acceptance. You may stop using noirdeck at any time by uninstalling it. Your licence ends if you breach its terms, subject to the cure period set out in the licence file.
Governing law
These terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction.
